While dealing with Systronic Co., you certify that you follow our terms and conditions that are as follows: Any work or project carried out by Systronic is only under an agreement provided to us via e-mail, call, mail or fax.
The elements of the website i.e. its design, graphics or any code, remain the property of Systronic until all outstanding dues are paid.
Payment Charge
Payment will be only charged as per signed agreement not without consent/ approval of Client via Credit/debit card/ Bank Transfer or PayPal.
Termination of services by Client
Must be requested by the client in a written notice, preferably via e-mail. All services contractual agreement cancelation of duration mentioned on signed Agreement.
Cease of Work/ Termination of Contract
Systronic reserves the right to terminate its services with any client at any time during the negotiation phase without providing any explanation, by giving them a written notice. Systronic reserves the right to cease all work if an invoice payment remains up to 7 days overdue. Non-payment voids all given guarantees. Work on the Portal shall resume once the account has been brought up to date. Should any due payment be outstanding after 7 or more days, Systronic reserves the right to cancel the agreement and no further work will be undertaken as at that point.
Domain or Hosting Services
Systronic IT Group Pty Ltd payment amount agreed as per Signed document for using the Hosting ordomain services. Systronic reserves the right to cease all work on the client?s website if an invoice payment remains up to 7 days overdue. Non-payment voids all given guarantees. The client understands that cessation of work will adversely affect the hosting or Domain website. Website shall resume once the account has been brought up to date and activation charges $75 will apply. Should any due payment be outstanding after 7 or more days, Systronic reserves the right to cancel the agreement and no further Services will be undertaken as at that point. Neither party shall be liable to the other for any indirect or consequential loss (including but not limited to loss of goodwill, loss of business, loss of anticipated profits or savings and all other pure economic loss) arising out of or in connection with this Agreement.
In this case, Systronic is not responsible for any loss of domain or hosting data.
Domain or hosting full access information will remain with Systronic and only will be shared if Systronic gets signed agreement of security disclosure.
Any porn/ spam file or malware attack on website hosting, Systronic will suspend the website hosting without any notification and request to update security. Any extra work for security may cost as working hours.
Systronic, will keep the Control Panel/ Admin/ information secure and if client wants to take control of the domain or hosting access. After sharing the Login information of website, Systronic is not responsible for any loss or damage made in the file or codes.

The Google PPC Add campaign will continue as per signed agreement duration and is subject to agreeing to the fee charged, signed contract, receipt of payment and initial billing submission. Client can cancel the contract any point of time by giving us the written notice in email.
Systronic reserves the right to reject some keywords/phrases based on the paid changes in Google adds section and other competitive factors.
Systronic has no control over the Google Ads PPC Policies and the violation of such policies may result in exclusion of the Client?s websites from Google PPC add listings and this may continue for an indefinite time.
All Services provided are attained and maintained solely by Systronic as an independent third party agency. Systronic is neither affiliated nor endorsed by any Search Engine or Google and has no partnerships with any Search Engines so far.
Neither party shall be liable to the other for any indirect or consequential loss (including but not limited to loss of goodwill, loss of business, loss of anticipated profits or savings and all other pure economic loss) arising out of or in connection with this Agreement.
Failure to comply with the Terms & Conditions above will lead to a Breach of Contract. Systronic will notify the Client via email or phone call of the penalty amount (60% of the monthly installment), depending on the reason of failure to comply, and this will be added to the Client?s next monthly bill payable. The Client is legally obliged to pay any and all outstanding amounts as specified in the Contract and its? Terms and Conditions and failure to do so will result in legal action undertaken by Systronics for recovery of debts owing.
Google Ad words account will be provided by client and also client will pay the budget payment himself in account. Once budget will run out of finish, then the campaign could pause.
NOTICE: All non-reserve values quoted are estimates and do not guarantee future performance. Proposed auction inventory is subject to change due to market conditions.
Facebook/ Social Media Paid Marketing
The Facebook Add campaign will continue as per Signed agreement duration basis and is subject to agreeing to the fee charged, signed contract, receipt of payment and initial billing submission.
Systronic reserves the right to reject some keywords/phrases or ads based on the paid changes in Facebook add section and other competitive factors. Systronic will create the new page or client provides the full admin access to Systronic in-order to prepare the ads.
Systronic has no control over the Facebook ads Policies and the violation of such policies may result in exclusion of the Client?s ads/ website from Facebook ads add listings and this may continue for an indefinite time.
All Services provided are attained and maintained solely by Systronic as an independent third party agency. Systronic is not affiliated nor endorsed by any Search Engine or Facebook.

Search Engine Optimization Agreement & Guarantee
The SEO campaign will continue as per Signed Agreement duration and is subject to agreement of the signed contract, fee charged, receipt of payment and initial billing. All contracts will be renewed automatically after the contract duration expires. Renewal will be according to the same package plan and Terms and Conditions. You will be re-billed unless the contract is terminated or cancelled on a 30 days? notice prior to the renewal date. There are no cancellation fees.
The Client is responsible for providing C-Panel, Admin Panel and FTP details within a week of the signup as billing starts right after the contract is signed. Failure to do so may slow the process and affect the promised results. During the SEO process, if the login details are not working properly, Systronic will stop the onsite work until the correct login details are provided. Systronic will not be responsible for any delay from the Client?s end and any third-party activity that affects the search engines.
Any delay on the approval of content, web changes or delay in providing the required information may result in delay of the SEO work and a delay in promised results.
Systronic Guarantees that 50% of the keywords will appear in top 10 organic listings of relevant country Google Search engines within 6 months from the sign up date. If Systronic fails to deliver the results within the time frame then Systronic will continue to work at no cost until the guarantees are met. The amount of free work and duration will be calculated and invoiced to the client after the guarantees are met. If payment is not made as per monthly signed date, the SEO work will stop. Declined payment or required information delay from client?s end will void this guarantee.
Systronic has no control over Search Engine Policies and the violation of such policies by the client or any party associated with the Client. Activities contrary to Search Engine Policies may result in expulsion of the Client?s websites from Directories and Search Engines and this may continue for an indefinite time period. Systronic will not be held responsible for any data loss or drop in ranking due to such changes. The entire responsibility of such activity would be on the Client.Any damage mentioned in clause 4 would need additional costs to fix and a new contract will be drawn up and signed to proceed further.
Systronic reserves the right to reject some keywords/phrases based on the ongoing changes in Search Engine ranking algorithms and other competitive factors.Neither party shall be liable to the other for any indirect or consequential loss (including but not limited to loss of goodwill, loss of business, loss of anticipated profits or savings and all other pure economic loss) arising out of or in connection with this Agreement.
In case of content duplication or violation of Search Engine Policies, the contract will be terminated and damages may be suffered by the Client. Systronic will not be responsible for any duplicate content which will cause delay of desired SEO results. Systronic will notify the Client via email with proof of any content duplication or policy violation. To protect your content from duplication by other websites, you can purchase content copyrights from Systronic.
All Services provided are attained and maintained solely by Systronic as an independent third party agency with official Google Partnership for several Google products and online marketing tools.
Cancellation of Search Engine Optimization Services
You may cancel your subscription at any time by informing Systronic IT Group Pty Ltd, in writing via email to accounts@systronic.com.au by giving 30 days written notice. All paid fees are not refundable in any aspect. If the monthly payment falls within the 30 days will be charged as last payment.

FREE Trial SEO Services Agreement
This condition only applies, Payment will not be charged until at least one keyword will appear on the 1st page of Search engine in the organic listings.After that Accounts department will notify through screenshot and start charging you the payment onward.
New Website Designing & Development
All services include and deliverable must be written on Signed agreement. initial Requirements form will be shared with customer, once all the information will be provided by client and afterward any new requirements after will cost accordingly.
Once mock will be completed and ready for testing, the client can ask for the all changes in one email as per contract. After 7 days, any extra changes a part from contract will cost accordingly.
Initially Selected web Theme or web design can only be change, if client agrees to pay extra cost for new theme or design. So, in order to complete the website in timely manners, please provide all possible information in the start.
on Logo designing you have 2 revisions option for it.
Optional Add-ons or extra work will cost as per price shared in email or on signed Document.
All paid fees are not refundable in all aspects; submitted. Neither party shall be liable to the other for any indirect or consequential loss (including but not limited to loss of goodwill, loss of business, loss of anticipated profits or savings and all other pure economic loss) arising out of or in connection with this Agreement.
Website Installment Plan
Client is requested to provide all the required information in timely manner to avoid delays for completing the project. Systronic is not liable for such delays caused by client.
The signup fee is non-refundable. Price mentioned on Website or Signed Agreement. Total cost of website will apply to cover some of the cost which incurs in design and development of the project in order to meet working days.
Client is required to make the payment through Direct Debit/ card/ Bank Transfer/ PayPal and if payment fails Systronic has the right to Suspend or permanently block the services after serving the 7 day notice to the client.
This is a legally binding contract between Systronic and the signing party as per Signed Agreement.
All paid fee for website development are non-refundable.
Neither party shall be liable to the other for any indirect or consequential loss (including but not limited to loss of goodwill, loss of business, loss of anticipated profits or savings and all other pure economic loss) arising out of or in connection with this Agreement.

Printing Services
Systronic offers only payment with order. No credit facilities are granted to customers.
PAYMENT WITH ORDER: Payment is required with the order. Your order will be processed only after cleared funds are received into our Bank Account.
